Valuation
Our valuation process includes a detailed review of your financials, market position, and growth potential to determine a realistic market value for your business.
Listing Agreement
All sellers are required to execute an exclusive listing agreement authorizing Acquisitions Direct to confidentially market the business and identify qualified buyers. Our team provides guidance throughout the entire sale process, including marketing strategy, buyer negotiations, deal structure, and closing.
Marketing
Our team will prepare and position your business for market by developing a professional sales presentation and implementing a targeted marketing strategy designed to attract qualified buyers and support the sale process.
Due Diligence Prep
It’s best to prepare for due diligence before a buyer is identified. During this stage, buyers will conduct a detailed review of your operations, financials, and business performance before moving forward with an acquisition. Having accurate documentation and organized records in place helps create a smoother process and builds confidence with prospective buyers.
Buyer Qualification
We identify qualified buyers through our targeted marketing process and network of acquisition candidates. After reviewing buyer qualifications, we coordinate introductions and conference calls with interested parties, allowing you to present the business and discuss the opportunity in greater detail.
Letter of Intent
When a qualified buyer expresses serious interest in your business, we will obtain a Letter of Intent (LOI) or formal offer and present the terms to you for review, discussion, and consideration.
Due Diligence
During due diligence, buyers will take a detailed look at your operations, financials, and overall business performance. Having organized records and documentation prepared in advance helps streamline the process, and our team will guide you through each step along the way.
Asset Purchase Agreement
The buyer’s attorney typically prepares the Asset Purchase Agreement (APA), which outlines the key terms of the transaction including the assets being acquired, purchase price, payment structure, representations, warranties, and closing conditions. Both the buyer’s and seller’s attorneys work together to negotiate the agreement and ensure the transaction is structured clearly and protects the interests of both parties.
Closing
Once the transaction is ready to close, our team coordinates with all parties involved to finalize the sale and complete the transfer process. Closing documents are executed, purchase funds are transferred to the seller, and ownership of the business and assets is formally transferred to the buyer.
Transitional Support
Congratulations — you sold your business. Following the closing, a transition period is typically provided to help ensure a smooth handoff to the new owner. The scope and length of post-sale support is negotiated prior to closing and may include training, operational guidance, or scheduled support calls.
